STANDARD TERMS AND CONDITIONS OF SALE OF WRITTEN TRANSLATION SERVICES

By purchasing the translation services from the service provider HESI GROUP UAB (“e-vertimai” translation agency; hereinafter referred to as the “Service Provider”) you (hereinafter referred to as the “Customer”) agree without reservation with the following Standard Terms and Conditions of Sale of Written Translation Services (hereinafter referred to as the “Terms and Conditions”):

 

 1. All terms and conditions provided below shall be considered to be accepted by the Customer without limitations or reservations after the Customer places the order, confirms the offer of the Service Provider in writing and/or accepts an invoice for the services sent by the Service Provider by mail or e-mail.
 
2. All correspondence by e-mail between the Customer and the Service Provider shall be an integral part of the Terms and Conditions.
 
3. All completed translations shall be sent by the Service Provider at the Customer’s e-mail address specified in the order, unless the Customer provides otherwise.
 
4. All work shall be deemed delivered and finally accepted by the Customer after five calendar days from the moment of delivery (sending to the Customer by mail or e-mail), provided that the Service Provider is able to prove that the work had been sent by any means and the Customer failed to present any claims to the Service Provider regarding the performed work.
 
5. All reasoned claims to the Service Provider regarding the performed work shall be presented in writing within five calendar days from the moment of delivery of the services. Possible deficiencies of any part of work, even if documented, shall not entitle the Customer to refuse to accept the remaining part of the work.
 
6. If the Customer wishes to receive the translation printed on paper and confirmed by the seal of the company and the signatures of the translator or a notary, the Customer shall notify the Service Provider in writing when placing the order.
 
7. The Customer shall not be entitled to cancel a confirmed order by e-mail or change it during its fulfilment without a written consent of the Service Provider. If an order is cancelled or changed, the part of the actually performed work shall be paid for according to the work costs incurred by the Service Provider.
 
8. The liability of the Service Provider for the possible consequences arising from the errors of translation, editing, localization, layout design, etc. and other provided services (performed work) shall be limited by the agreed amount of payment for the order, i.e. any direct or indirect damages incurred by the Customer and caused by the errors of the Service Provider in providing translation, editing, localization, layout design and/or other similar services exceeding the value of the order shall not be compensated to the Customer.
 
9. The invoices shall be sent to the Customer in electronic format only at the e-mail address specified by the Customer in the order; hard copies shall not be sent to the Customer.
 
10. The invoice for the provided services shall be paid within the time period indicated therein. If the Customer fails to make the payment according to the invoice on time, it shall pay a penalty of 0.1 percent of the outstanding amount for each day of delay.
 
11. The Service Provider shall guarantee the confidentiality of the documents presented by the Customer. This guarantee shall not be applicable to the texts sent by e-mail due to possible disclosure or loss of information or other technical issues that may arise in internet delivery, which are beyond the control of the Service Provider.
 
12. All liability and risk associated with the transportation of the documents and material shall be borne exclusively by the Customer. The Service Provider shall not be liable for the damages incurred during the transportation of the documents, even if the delivery services were ordered on behalf of the Customer.
 
13. The Customer undertakes not to present job offers, not to employ and not to give freelance translator work assignments for the staff and freelance translators of the Service Provider.
